Mar-Key Marquees

​​​RSM’s M&A team have successfully advised leading UK temporary structure provider Mar-Key Marquees (‘Mar-Key’), on its sale to Alcuin Capital Partners, with debt funding provided by Virgin Money.

​​Established in 1991 and operating from its head office in Bournemouth, Mar-Key design, manufacture and deliver temporary structures for events and commercial clients. The company has provided structures for major sporting and hospitality events, alongside temporary building and storage space for businesses. Based in the UK, Alcuin Capital Partners provide private equity funding for a range of business. This is its first investment into the temporary structures sector.​

​RSM were engaged as lead advisors to assist the shareholders in achieving their sale aspirations and to identify a strategic investment partner that would accelerate Mar-Key’s future growth plans in the UK and internationally. RSM additionally provided financial modelling support, creating an integrated financial model to support forecasting and the banking process.

​The acquisition, and funding provided by the transaction, will enable to Mar-Key to expand its stock of rental assets, and further boost its export operations, driving future international growth.

The partnership we have formed today with Alcuin represents a new chapter in the life of Mar-Key group. Osborne Infrastructure

​​RSM’s M&A team have successfully advised Geoffrey Osborne Limited (‘Osborne’) on the carve-out and sale of its infrastructure division, Osborne Infrastructure Limited (‘OIL’) to investment firm, Sullivan Street Partners.

​​Founded in 1966, Surrey-headquartered Osborne is a family-owned construction and development group. Having made the strategic decision to focus on its core activities, the Board appointed RSM to advise on the carve-out and divestment.

​RSM’s specialist teams worked closely with the board to prepare the division for sale before advising on the transaction. To support the carve-out, RSM’s specialist teams provided the forecast model, prepared the financial factbook with standalone financials, advised on complex accounting areas, and supported on the Transitional Services Agreement.​

​Once ready for sale, RSM’s M&A and private equity team used its deep knowledge of the market to package the opportunity and identify suitable purchasers, negotiating all aspects of the deal and project managing to completion. After a discreet marketing process, Sullivan Street was selected as the preferred partner for OIL and its incumbent management team.

Osborne is a well-established name within the construction and development sector and the success of their infrastructure division is testament to them. This carve-out will allow Osborne to focus on their core activities and represents a fantastic opportunity for both parties. I am delighted RSM could help in supporting Osborne’s strategic goals of becoming market leaders within the residential and education sectors.

Chandlers Building Supplies

​​RSM’s M&A team has successfully advised East Sussex-based Chandlers Building Supplies Holdings Limited on the company's merger with Parker Building Supplies.​

​​​The merger, which has been completed with the support of Parker's strategic partner, Cairngorm Capital, will result in an enlarged company with 38 branches operating from the Midlands to the Southeast, with combined revenues of £180m and over 750 employees.

​RSM’s corporate finance advice on the merger included assistance with a group and LLP partnership reorganisation, a property demerger, and liaising with a broad shareholder group, consisting of three families, two trusts, and a number of subsidiary shareholders.

My objectives were to complete on a successful deal and build a strong relationship with our new partners at Parkers. RSM were instrumental in achieving this for the shareholders, delivering a fantastic deal for all involved. The RSM team managed the process exceptionally well, navigating us through all issues that arose and were integral to the success of the transaction. They became part of the Chandlers team and were sensitive to the changing emotions we felt as shareholders throughout the deal. I would not hesitate to work with them again.
