Waterscan
Our deal services team has successfully advised private equity firm LDC on their £12m investment in Waterscan.
Founded in 1994, Waterscan helps customers develop effective sustainable water management strategies that deliver business resilience and environmental leadership. It employs more than 60 people at its sites in Chichester and Rotherham and advises a UK-wide customer base of blue-chip companies, including household names such as BT, Greene King, Sainsbury’s, John Lewis and Whitbread, the owner of Premier Inn.
Waterscan’s proprietary technology platform, Waterline, provides real-time data and insights on water management that enable customers to save water, reduce costs and make informed strategic decisions. The Waterline platform allows Waterscan to provide an end-to-end water solutions approach.
LDC, the private equity investor which is part of the Lloyds Banking Group, will support Waterscan’s growth strategy, which is underpinned by further investment in its Waterline technology and sustainability consultancy services.
The mergers and acquisitions (M&A) deal team was led by Gemma Legg, with support from Mark Colling, Rhys Jennings, Aleks Djukanovic and Toby Sharp. RSM also provided tax structuring, tax due diligence and accounting advisory support, with these teams led by James Hunt, Michelle Harris and Ben Bilsland respectively.
This is a fantastic partnership for LDC and Waterscan, as both parties are passionate about sustainability, particularly for such a scarce commodity as water. Concept Building Services (Southern) Ltd
RSM UK has advised comprehensive construction and building solutions provider Concept Building Services (Southern) Limited on its sale to Axis CLC, backed by HIG Capital.
Based in Chichester, Concept Building Services (Southern) Ltd specialises in property maintenance, refurbishment and compliance services globally. The company provides a full spectrum of infrastructure solutions including civil engineering, mechanical and electrical contracting, maintenance and refurbishment. It has a proven track record of successful projects, including working on local authority sites and Ministry of Defence estates.
Axis CLC is a national leader in critical property services for essential buildings and social infrastructure across the UK. The company delivers a comprehensive range of services, such as responsive and planned maintenance, refurbishment, building compliance and decarbonisation, across the social housing, healthcare, defence, education and commercial sectors.
This strategic alignment will allow the combined entity to strengthen its presence in the construction industry, bolstered by shared resources and expertise. The acquisition will accelerate growth and aligns with their shared commitment to delivering high-quality refurbishment projects.
RSM UK advised Concept Building Services’ shareholders throughout the transaction, led by deal services partner Ian Wherry and consulting director Mark Colling (mergers and acquisitions), working with Nick Williams (due diligence) and Graham Weston (data analytics).

Concept Building Services (Southern) Ltd
Macro Art
RSM's M&A team has advised leading graphics, branding and signage solutions company Macro Art on its sale to global premium graphics producer Moss Inc (‘Moss’), supporting the buyer’s plans for UK expansion.
Founded in 1992, Macro Art is an award-winning, high-end graphics provider based in St Neots, Cambridgeshire, working with clients including luxury retailers, broadcasters, sports organisations, and theme parks. Macro Art’s managing director Michael Green and the company’s senior management team remained in their roles as part of the acquisition, with all UK staff also retaining their positions.
Headquartered in Chicago, Illinois Moss Inc is a leading producer of premium graphics, complex structures and custom installations for brand experiences. The deal accelerates Moss’s strategy of building sustainable, high-quality branded experiences for global clients and expanding its footprint into the UK market.
RSM’s team advised Macro Art on its sale, negotiating the key terms and project managing the transaction through to completion. The deal has enabled private equity investor YFM to exit the businesses and Macro Art to continue its growth journey, with Moss enabling the business to increase its global footprint.

Macro Art
Protec Fire and Security Group
RSM has advised leading fire detection and security technology specialist Protec Fire and Security Group Ltd (‘Protec’) on its sale to Bosch Building Technologies.
TProtec is one of the leading system integrators for security and fire detection technology in the UK, headquartered in Nelson, Preston; and employs around 1,100 employees at its nine sites across the UK and the Netherlands with a turnover of £125m.
Bosch Building Technologies currently has the focus of its European system integrator business in Germany and the Netherlands; and is also active as a system integrator in the USA and Asia.
The transaction combines two complementary businesses and offers both companies the opportunity to expand into different markets and strengthen its presence within the global fire safety and security sector.
With Bosch, we found a great partner who values our history, brand and our extraordinary team. I believe this cooperation will open up great opportunities for our company as well as our employees and lead into a successful future.

Cawood Scientific
RSM’s M&A team has advised the management team on the secondary buy-out of Cawood Scientific Ltd, backed by Inflexion Private Equity, providing an exit for NVM Private Equity. RSM's M&A team advised management through several PE transactions.
Cawood Scientific is the UK’s largest independent provider of analytical laboratory testing services for the land-based industries. It is dedicated to the delivery of sound science to help customers manage their businesses effectively and profitably. It operates through three divisions, Sciantec Analytical Services (in Yorkshire), NRM Laboratories (in Berkshire and Norfolk) and Sci-Tech Laboratories (in Shropshire). Together, these provide a ‘complete analytical solution' for the wide range of testing services that are required for businesses engaged in the Agricultural, Animal Nutrition, Horticultural, Amenity, Environmental and Related Industries.
RSM deal services team supported the management team to identify the correct exit route for them (trade/private equity) and secure the best partner to take the business forward, achieving an optimum balance of 'cash out' and equity value.

Wood Thilsted
RSM’s M&A team has advised Wood Thilsted on successfully securing investment from private equity firm, Inflexion.
Founded in 2015 by Alastair Muir Wood and Christian LeBlanc Thilsted, Wood Thilsted is a leading offshore wind engineering consultancy, employing 140 people in five countries. It operates globally in all major wind energy markets and is currently working on two of the world’s most significant wind development projects.
RSM was engaged as lead advisors to assist the shareholders in finding the right partner to enable the business to accelerate its expansion plans in the rapidly growing energy transition market. Following an extensive marketing process attracting attention from a number of private equity firms across the globe, Inflexion was selected to support the founders and management team through the next stage of growth.
