Health Partners Europe Limited and Sempris Limited

​RSM’s M&A team has successfully advised Health Partners Europe Limited and Sempris Limited on their sale to Specialist Risk Group.

Founded in 1993, Health Partners Europe (“HPE”) is the leading facilitator and administrator of medical trusts within UK elite sport. For more than three decades the company has helped to deliver world class healthcare to some of the biggest names in professional sport, advising the Premier League, the England and Wales Cricket Board, high-profile Rugby League clubs, the Talented Athlete Scholarship Scheme and many others. HPE’s sister company, Sempris, provides unrivalled medical indemnity insurance for healthcare professionals treating elite sportsmen and women.

Having recently invested in innovative technology to support its proposition to the market, the shareholders were looking for a partner to accelerate their ambitious UK and overseas growth plans. After a competitive process, Specialist Risk Group (“SRG”), one of the UK’s fastest-growing specialist insurance intermediaries with expertise in complex and niche risks, was selected as the preferred partner.

RSM advised the shareholders on all aspects of the deal; preparing the business for market, identifying and introducing the opportunity to buyers, negotiating offers and managing the transaction through to completion. We also provided personal and corporate tax advice, ensuring a joined-up process from start to finish.

After growing the Health Partners and Sempris group for more than three decades, this deal was a crucial milestone, and I couldn’t be happier that we chose RSM as our advisors to guide us through it. Bovill Limited

​Our deal services and private equity team successfully advised Bovill Limited (‘Bovill’), a specialist financial services regulatory consultancy, on its sale to Ocorian, a global provider of financial and corporate administration services and regulatory solutions to financial institutions, asset managers, corporates and high-net-worth individuals.

​With offices in London, Singapore, Hong Kong and the US, Bovill provides compliance advice to its 500 clients globally. Following the sale, Bovill will merge with Newgate, Ocorian’s regulatory and compliance business based in the UK and Guernsey.

As a long-standing client of RSM, the deals team supported Bovill in their negotiations with Ocorian to secure a successful deal. The transaction establishes an integrated global team of over 120 people, underpinned by Ocorian’s proprietary compliance technology, the Gateway.

Bovill Limited

Five Wealth

​RSM’s M&A team advised Five Wealth Limited on successfully securing private equity funding from Foresight Group.

​The investment supports the company’s succession planning strategy and accelerating future growth plans.

​Founded in 2016, Five Wealth is a leading independent wealth management and financial planning company based in Manchester. The company was set up by directors Phillip Dewhurst, Chris Little, Philip Shaw, Stephen Hughes and Stephen Jordan. In the last seven years, the team has grown to include eight advisers with 27 staff members responsible for supporting more than 600 clients across the Northwest.

​RSM’s team of experts supported the company in identifying the investment partner (Foresight Group), negotiating the deal terms and project managing the deal through to completion. The funding secured will drive the company’s growth plans both organically and via acquisition.

Avid Insurance Services

​RSM’s M&A team has successfully advised Avid Insurance Services (‘Avid’) on its partial sale to Beech Tree Private Equity (‘Beech Tree’).

​Avid is a specialist managing general agent writing in excess of £40m gross premium across niche personal and commercial lines. Its data driven approach to the underwriting of underserved markets within the insurance industry, has generated strong book performance and a reputation as a trusted partner for ‘hard to place’ risks.

​RSM was appointed to find a buyer to support and accelerate Avid’s growth, as well as facilitate a full exit for one of the founding shareholders. After a competitive process, Beech Tree was identified as the right fit for both the remaining owner managers and company, with the incumbent management team realising 50 per cent of their value and at the same time retaining a significant stake in the business.

If I could have outlined the perfect deal at the start of this journey, this would have been it. RSM found an excellent partner in Beech Tree, who share the ambitions and values of the management team, whilst also achieving a fantastic exit for the shareholders.
